How does a company in Malaysia move from a business idea to formal incorporation?
Registering a company is only one part of the process. For founders, what matters more is understanding how a company moves from early planning to incorporation, capital arrangement, and actual business operations, while continuing to meet its statutory responsibilities under the Companies Act 2016.
The following overview is based on Malaysia’s Companies Act 2016 framework.
1 | The Four Main Stages of Company Formation
Stage 1: Promotion
• Define the business idea and direction.
• Identify and confirm the company’s promoters.
• Prepare an initial business plan.
• Conduct market research and feasibility assessment.
Stage 2: Incorporation
• Submit the company registration application to the Companies Commission of Malaysia (SSM).
• Confirm the company name, company type, and nature of business.
• Provide details of directors, shareholders, registered office, and business address.
• Complete the main registration process through the Super Form.
Stage 3: Capital Subscription
• For private companies, the shareholders and share structure are usually determined at the incorporation stage.
• For public companies raising funds from the public, additional prospectus and statutory procedures may apply.
• The company should clearly document its shareholding structure, share classes, and capital arrangement.
Stage 4: Commencement of Business
• A private limited company may commence business upon receiving its Notice of Registration.
• A public company may still need to satisfy additional statutory requirements depending on its structure.
• Once operations begin, the company should also establish its accounting, tax, and internal management systems.
2 | Key Legal Documents in the Incorporation Process
A. Constitution
• Under the Companies Act 2016, the former Memorandum and Articles of Association have been replaced by the Constitution.
• A private company may choose to adopt a Constitution.
• If no Constitution is adopted, the company will operate based on the default provisions under the Act.
• A Constitution may be used to regulate the company’s objectives, shareholders’ rights, and internal governance rules.
B. Prospectus
• Mainly relevant to public companies.
• Used when inviting the public to subscribe for shares.
• Must comply with the relevant securities laws and regulatory requirements.
C. Directors’ Declaration
• A proposed director must confirm consent to act as a director.
• The director must declare that he or she is not disqualified from holding office.
• The company should ensure that the directors’ details and statutory declarations are properly maintained.
D. Notice of Registration
• Serves as the official proof that the company has been incorporated with SSM.
• Under the current system, the Notice of Registration replaces the old certificate of incorporation.
• The company should keep this document together with its other statutory records.
3 | Main Steps to Register a Company with SSM
Step 1: Apply for a Company Name
• Submit the proposed company name.
• Wait for SSM review and approval.
• Ensure the name does not conflict with existing companies or breach any applicable rules.
Step 2: Submit the Super Form
The required information generally includes:
• Company name.
• Company type.
• Nature of business.
• Directors’ details.
• Shareholders’ details.
• Registered office address.
• Business address.
• Shareholding and capital structure.
Step 3: Pay the Registration Fee
• The registration fee for a private limited company is commonly RM1,010.
• Actual fees and related charges should be confirmed based on SSM’s current requirements.
Step 4: Receive the Notice of Registration
• Once approved by SSM, the Notice of Registration will be issued.
• The company may then begin operations, subject to its company type and any applicable legal requirements.

• Confirm that each director is legally qualified to act.
• Ensure directors’ declarations, consent forms, and personal details are complete.
• Changes in directors should be reported on time.

For many companies, the final 40 days before tax filing are not just about submitting the return. If related party transactions are involved, this is also the time to make sure your Contemporaneous Transfer Pricing Documentation (CTPD) is properly prepared.
For companies with a financial year ending 31 December 2025 and an income tax filing deadline of 31 August 2026, CTPD should not be left until after an LHDN notice is issued. Businesses with related party transactions should review their position early and make sure the required documentation is prepared on time.
CTPD must be completed by the income tax filing deadline for the relevant year of assessment. If LHDN issues a written request, the taxpayer must submit the documentation within 14 days. Failure to provide the documents within the required timeline may result in a penalty ranging from RM20,000 to RM100,000 for each year of assessment.
When might CTPD not be required?
• Total related party controlled transactions do not exceed RM1 million.
• The individual is not carrying on a business.
• Purely domestic related party transactions that meet the qualifying conditions.
• Other exemptions stated under the Malaysia Transfer Pricing Guidelines 2024
Common preparation risks for businesses:
• Assuming CTPD only needs to be dealt with after the tax return is filed.
• Failing to keep complete records of related party transactions, pricing support, and business arrangements.
• Not reviewing whether the transactions meet the arm’s length principle.
• Only starting to gather documents after receiving an LHDN notice.
• Underestimating the time needed for documentation, analysis, and review
CTPD is not something that can be put together at the last minute with only a few supporting documents. It requires proper explanation supported by related party information, transaction records, agreements, pricing policies, and relevant evidence. If your company has not yet confirmed whether CTPD is required, now is the time to review the transactions and exemption conditions so there is enough time for filing and any possible tax review.
